Transparency Technologies, LLC DBA Rookd
These Terms of Service (“Terms”) are a legally binding agreement between you and Transparency Technologies, LLC, doing business as Rookd (“Rookd,” “we,” “us,” or “our”). They govern your access to and use of the Rookd platform, website, mobile applications, and related services (collectively, the “Services”).
BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 9. PLEASE READ IT CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.
1. Eligibility and Accounts
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By creating an account, you agree to provide accurate information, keep your credentials secure, and accept responsibility for all activity under your account. We may suspend or terminate accounts for suspected unauthorized use or violations of these Terms.
2. Services
Rookd provides a technology platform and related services. We are not a party to any agreement, transaction, or arrangement formed between users through the Services. We do not guarantee the accuracy of any content, the quality of any results, or the conduct of any user.
Certain features may require payment. Applicable fees are disclosed prior to purchase and are non-refundable unless otherwise stated. We reserve the right to modify pricing, features, or availability at any time.
3. User Conduct
You agree to use the Services only for lawful purposes. You may not:
- Provide false or fraudulent information, or impersonate any person or entity
- Harass, threaten, or discriminate against other users
- Violate any applicable laws, including fair housing laws
- Attempt unauthorized access to systems, or use bots, scrapers, or automated tools without permission
- Interfere with or disrupt the Services, or circumvent security features
- Post content that is illegal, infringing, obscene, or harmful
4. User Content
By submitting content through the Services, you grant Rookd a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display that content in connection with operating the Services. You represent that you own or have the right to submit all content and that it does not infringe any third-party rights. We may remove content at our sole discretion.
5. Third-Party Services
The Services may integrate with or rely on third-party providers. Your use of any third-party services is subject to their respective terms and policies. Rookd does not guarantee the accuracy or completeness of any information provided by third parties. To the extent any consumer reports are obtained, they are governed by the Fair Credit Reporting Act (FCRA), and you have the right to dispute inaccurate information directly with the reporting agency.
Identity Verification: Rookd requires all users—both tenants and landlords—to verify their identity as a platform safety measure. Identity verification (“Rookd Verified”) confirms that each user is a real person and is applied equally to all participants. It is not a consumer report, background check, or tenant screening tool, and is not used to determine eligibility for housing, credit, employment, or insurance under the Fair Credit Reporting Act. Background checks and credit reports, when requested separately, are conducted through FCRA-compliant consumer reporting agencies with appropriate disclosures and consent.
6. Intellectual Property
The Services and all related content, features, and functionality are owned by Rookd or our licensors and are protected by intellectual property laws. “Rookd” and our logos are trademarks of Transparency Technologies, LLC. You are granted a limited, non-exclusive license to use the Services for personal, non-commercial purposes.
7. Fair Housing
Rookd complies with all applicable fair housing laws. Users are prohibited from discriminating based on race, color, national origin, religion, sex (including gender identity and sexual orientation), familial status, disability, or any other characteristic protected by law. Violations may result in account termination and legal action. For more information, visit hud.gov/fairhousing.
8. Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
You use the Services at your own risk. We do not warrant that the Services will be uninterrupted or error-free, or that information provided by other users is accurate.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOKD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO ROOKD IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
9. Dispute Resolution and Arbitration
THIS SECTION AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND HAVE A JURY TRIAL.
Before initiating arbitration, you agree to contact us at legal@getrookd.com to attempt informal resolution within 30 days. Unresolved disputes shall be resolved through binding arbitration administered by JAMS in Denver, Colorado (or by videoconference), conducted by a single arbitrator whose decision is final.
CLASS ACTION WAIVER: All disputes will be resolved on an individual basis. You waive any right to participate in a class action or class-wide arbitration.
JURY TRIAL WAIVER: You waive your right to a jury trial for any claims covered by this arbitration agreement.
Exceptions: small claims court, intellectual property injunctive relief, and claims related to sexual assault or harassment. You may opt out within 30 days by emailing legal@getrookd.com with the subject “Arbitration Opt-Out.”
10. Governing Law
These Terms are governed by the laws of the State of Colorado. For disputes not subject to arbitration, exclusive jurisdiction and venue shall be in Denver, Colorado.
11. Termination
You may terminate your account at any time by contacting support@getrookd.com. We may suspend or terminate your account at any time, with or without cause or notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive (including disclaimers, liability limitations, and dispute resolution) will survive termination.
12. Indemnification
You agree to indemnify and hold harmless Rookd and its officers, directors, employees, and affiliates from any claims, damages, losses, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
13. General
These Terms and our Privacy Policy constitute the entire agreement between you and Rookd. If any provision is unenforceable, the remaining provisions continue in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent. We may modify these Terms at any time; continued use constitutes acceptance.
